Trianon CF advised PCM Ingénierie Group on the reorganization of the capital structure

Founded in 2013, PCM Ingénierie is a multidisciplinary engineering group in the fields of construction and urban planning through 6 complementary specialties: Urban Planning & Infrastructure, Civil Engineering & Structures, Water & Environment, Buildings, Geodata, Connected Solutions.

PCM Ingénierie supports its clients, mainly in the public sector (70% of sales), nationwide through 12 locations near major French urban aeras (Paris, Lille, Rouen, Nantes, Bordeaux, Lyon, Aix-en-Provence). The Group has expanded rapidly over the last ten years, thanks to an active development strategy combining organic and external growth (7 acquisitions since 2013), increasing its sales revenue from €2 million to just over €18 million in 2023, with a backlog representing almost 2 years of activity.

Faced with the strong growth, the management of PCM Ingénierie, led by Philippe MONTERAT and Frédéric LACAN, mandated Trianon CF to reorganize the capital by bringing in a minority financial partner, thereby ensuring liquidity for the historical minority shareholders, tightening the shareholding structure, and accelerating the development of the Group. The management has partnered with BNP Paribas Développement which was convinced by the quality of the team and the Group’s growth strategy, aimed at strengthening its expertise, its territorial grid, and its positioning in engineering to combat global warming and its effects on territories, as well as the preservation of biodiversity.

In particular, the MBO with BNP Paribas Développement has enabled the accretion of the Group’s executives and provides additional resources for implementing the strategic plan. In this respect, PCM Ingénierie is studying several acquisition targets which would consolidate its know-how in the fields of data acquisition and energy performance.

The mission of Trianon CF covered the drafting of the information memorandum, the identification, introduction and conduct of discussions with potential investors, the financial structuring of the transaction, the raising of bank financing, the negotiation of management interests, the management of the dataroom and Q&A sessions, as well as the coordination of the parties involved in the transaction.
