Trianon Corporate Finance advised the shareholders of IEF2I Education on the reorganization of the capital structure

Created in 1998 by Chantal Berdaa, IEF2I Education is one of the French leaders in higher education specializing in digital and IT from BAC to BAC +5. The group now offers 20 training courses to over 2,000 students across 4 campuses in the Paris region, and allows these students to benefit from support for their studies under apprenticeship programs. The strength of IEF2I Education is based on the educational quality of its training courses, the availability of digital and innovative learning tools, as well as its network of more than 3,000 partner companies ensuring very high professional integration rates.

Trianon Corporate Finance advised the shareholders of IEF2I Education in the context of a secondary LBO, allowing Alliance Entreprendre and Galia Gestion to achieve the liquidity for their investment.

MBO & Co partners with the management headed by its chairman, Chantal Berdaa, who remains the majority shareholder, as well as Alliance Entreprendre which reinvests. This reorganization of the capital structure comes at a time when IEF2I Education is accelerating its development. The company will open a new 2,300m² campus in Vincennes next September. Thanks to the support of its shareholders, the Group wishes to implement an ambitious growth plan which will involve the opening of new campuses, the expansion of the training courses’ offer, the pursuit of innovation efforts in learning methods, as well as targeted acquisitions.

The intervention of Trianon CF focused in particular on the writing of the information memorandum, the drafting of a business plan, the conduct of discussions with potential investors, the raising of bank financing, the negotiation of the sellers’ interests, the management of the dataroom and Q&A sessions, as well as the coordination of all the parties involved in the transaction.
